1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you," "your," or "Organization") and UNI VALET ("we," "us," "our," or "Service Provider") governing your access to and use of the UNI VALET software-as-a-service platform, including our web-based admin portal, mobile applications, and customer web ticket portal (collectively, the "Service").

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

2. Definitions

  • "Account" means your organization's account on the Service, created during registration.
  • "Authorized Users" means individuals authorized by you to access the Service on your behalf, including location accounts and runners.
  • "Customer Data" means all data, information, and content uploaded, stored, or processed through the Service, including but not limited to customer phone numbers, vehicle details, photographs, and payment information.
  • "Location" means a physical valet operation site created and managed by you within the Service.
  • "Runner" means an individual employed or engaged by you to perform valet operations using the Service.
  • "Third-Party Services" means third-party services integrated with the Service, including but not limited to Stripe, Twilio, Google, and Gemini AI.

3. Account Registration and Security

To use the Service, you must register and create an Account. You agree to:

  • Provide accurate, current, and complete information during registration;
  • Maintain and promptly update your registration information;
  • Maintain the security of your Account credentials and not share them with unauthorized parties;
  • Promptly notify us of any unauthorized use of your Account or any other security breach;
  • Accept responsibility for all activities that occur under your Account, including actions by your Authorized Users.

We reserve the right to reject, suspend, or terminate any Account at our sole discretion, including if we suspect fraudulent, abusive, or unlawful activity.

4. Service Description and Scope

UNI VALET provides a multi-tenant SaaS platform for valet service operations, including:

  • Web Admin Portal: Organization and location management, runner management, reporting, and payment configuration.
  • Runner Mobile Application: Vehicle check-in, ticket management, status tracking, offline operations, and payment processing.
  • Customer Web Ticket: Real-time status viewing, vehicle request, payment, and feedback.

The specific features available to you may depend on your subscription plan and configuration choices. We may modify, suspend, or discontinue features at any time without prior notice.

5. Subscription and Payment Terms

5.1 Subscription Fees

You agree to pay all applicable subscription fees and associated charges for your use of the Service. Fees are determined by your selected subscription plan and may be updated upon written notice.

5.2 Payment Processing

The Service integrates with Stripe, Inc. ("Stripe") for payment processing. By using payment features, you agree to Stripe's terms of service and applicable payment network rules. You are solely responsible for:

  • Connecting and maintaining your Stripe Connect account;
  • All transactions processed through your Stripe account;
  • Compliance with applicable payment card industry (PCI) standards;
  • Handling disputes, chargebacks, and refunds with your customers.

5.3 Taxes

You are responsible for determining, collecting, reporting, and remitting all applicable taxes (including sales tax, VAT, and similar obligations) related to valet services you provide. We do not provide tax advice.

6. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service for any illegal, fraudulent, or unauthorized purpose;
  • Violate any applicable laws, regulations, or third-party rights;
  • Upload, store, or process malicious code, malware, or harmful content;
  • Attempt to gain unauthorized access to any portion of the Service or any systems or networks connected to it;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service;
  • Use the Service to transmit spam, phishing communications, or unsolicited messages;
  • Collect or harvest personal data of other users without consent;
  • Use the Service in a manner that exceeds reasonable use parameters or places undue burden on our infrastructure.

7. Third-Party Services

The Service integrates with and relies upon Third-Party Services, including:

  • Stripe: For payment processing. Your use is subject to Stripe's terms of service.
  • Twilio: For SMS notifications to customers. Message and data rates may apply to end users.
  • Google Places API: For address and location services.
  • Gemini AI: For vehicle detail extraction from photographs. Vehicle photographs may be processed by Google's AI services.

Your use of these Third-Party Services is subject to their respective terms and privacy policies. We are not responsible for the acts or omissions of third-party service providers.

8. Data and Privacy

8.1 Data Controller

You are the data controller for Customer Data processed through the Service. You are solely responsible for:

  • Obtaining necessary consents from individuals whose data is collected;
  • Complying with applicable data protection laws, including but not limited to CCPA and GDPR where applicable;
  • Responding to data subject requests (access, deletion, correction, etc.);
  • Ensuring lawful processing of customer phone numbers, vehicle details, photographs, and payment information.

8.2 Data Processing

We act as a data processor on your behalf. We will process Customer Data only to provide the Service and in accordance with your instructions. We implement reasonable security measures to protect Customer Data.

8.3 AI Processing

When you use the vehicle detail extraction feature, vehicle photographs are sent to Google's Gemini AI for processing. By using this feature, you acknowledge that:

  • Photographs may be transmitted to and processed by Google's servers;
  • Google's privacy policy applies to this processing;
  • You have obtained necessary consent from individuals whose vehicles are photographed.

8.4 Data Retention

We retain Customer Data for the duration of your subscription and as reasonably necessary to provide the Service. Upon termination, you may request export of your data, after which we will delete Customer Data in accordance with our data retention schedule.

9. Intellectual Property

9.1 Our Rights

The Service, including all software, designs, logos, trademarks, and content, is owned by us or our licensors and is protected by intellectual property laws. You receive only a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

9.2 Your Rights

You retain all rights to Customer Data. You grant us a limited license to process Customer Data solely to provide the Service.

9.3 Feedback

If you provide suggestions, ideas, or feedback regarding the Service, we may use such feedback without restriction or obligation to you.

10. User Obligations

You are responsible for:

  • Ensuring your valet operations comply with all applicable laws, regulations, and licensing requirements;
  • Obtaining necessary consents from customers for data collection and SMS notifications;
  • Training and supervising your Authorized Users and runners in the proper use of the Service;
  • Maintaining accurate records of your operations;
  • Ensuring the accuracy of information entered into the Service;
  • Promptly addressing any customer complaints or disputes;
  • Coordinating offline operations among multiple runners to avoid data conflicts.

11. Service Level and Support

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. Scheduled maintenance will be communicated when practical. Critical support is available at support@univalet.com.

The mobile application supports offline operations for certain features. You are responsible for ensuring connectivity is restored promptly to sync offline data. We are not responsible for data loss resulting from offline conflicts.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY AI-EXTRACTED VEHICLE DETAILS.

WE ARE NOT A PARTY TO ANY TRANSACTIONS BETWEEN YOU AND YOUR CUSTOMERS. WE DO NOT VERIFY THE IDENTITY OR CREDITWORTHINESS OF ANY CUSTOMER AND ARE NOT RESPONSIBLE FOR ANY LOSSES ARISING FROM CUSTOMER TRANSACTIONS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use or inability to use the Service;
  • Any conduct or content of any third party on the Service;
  • Any content obtained from the Service;
  • Unauthorized access, use, or alteration of your transmissions or content;
  • Errors or omissions in AI-extracted vehicle details;
  • Payment processing errors or disputes;
  • SMS delivery failures or delays.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless UNI VALET and its officers, directors, employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or expenses arising from:

  • Your use of the Service;
  • Your violation of these Terms;
  • Your violation of any third-party right, including intellectual property and privacy rights;
  • Any claim by a customer arising from your valet operations;
  • Any dispute between you and a customer regarding payment;
  • Any data breach caused by your failure to maintain adequate security.

15. Termination

15.1 By You

You may terminate your Account at any time by contacting us at support@univalet.com. Upon termination, your access to the Service will cease.

15.2 By Us

We may suspend or terminate your Account at any time, with or without cause, with or without notice. We may terminate immediately if you violate these Terms or engage in fraudulent, abusive, or unlawful activity.

15.3 Effect of Termination

Upon termination: (a) your right to use the Service will immediately cease; (b) we may delete your Account and Customer Data; (c) no refunds will be provided for prepaid subscription fees; (d) Sections 8, 9, 12, 13, 14, and 16 will survive termination.

16. General Terms

16.1 Modifications

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page or by email. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

16.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware.

16.3 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements and understandings.

16.4 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

16.5 No Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of those rights.

16.6 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
